The current organization of our business, including our new Insurance Marketing
Division, is a result of our January 30, 2007 merger with Insurance Capital
Management USA, Inc. (“ICM”) and our October 1, 2007 acquisition of Protective
Marketing Enterprises, Inc. (“PME”). To properly reflect our broadened mission
of providing access to affordable healthcare for all Americans, we changed our
