AeroGrow International Inc. (“AeroGrow”) was formed as a Nevada corporation on
March 25, 2002. Wentworth I, Inc., a Delaware corporation
(“Wentworth”) organized under the laws of the State of Delaware on March 6,
2001, entered into an Agreement and Plan of Merger with us (the “Merger
Agreement”) on January 12, 2006, which was consummated on February 24,
2006. Under the Merger Agreement, Wentworth merged with and into AeroGrow, and
AeroGrow was the surviving corporation (“Merger”). Our certificate of
incorporation and by-laws prior to the Merger are now those of the surviving
company, and the surviving company is governed by the corporate law of the State
of Nevada.

Our Business

Our principal business is developing, marketing, distributing, and selling
advanced indoor aeroponic garden systems designed and priced to appeal to the
gardening, cooking and small kitchen appliance, healthy eating, and home and
